Welcome to stargazer.earth! These Terms of Service ("Terms") govern your access to and use of the stargazer.earth website and its related services (collectively, the "Service"), operated by Łukasz Pożarlik ("we," "us," or "our").

Please read these Terms carefully before using our Service. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to all of these Terms, do not access or use the Service.

1. Acceptance of Terms

By creating an account, accessing, or using any part of the Service, you represent that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization or entity ("Organization"), then you are agreeing to these Terms on behalf of that Organization, and you represent and warrant that you have the authority to bind the Organization to these Terms. In that case, "you" and "your" refer to you and that Organization.

2. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, in whole or in part, please stop using the website and the Service.

3. Eligibility

You must be at least 13 years old to use the Service. If you are under 18, you represent that you have your parent or guardian's permission to use the Service. If we learn that we have collected personal information from a child under 13 without parental consent, we will take steps to delete that information as soon as possible.

• Account Termination: We reserve the right to suspend or terminate your account at any time, with or without cause or notice, for any reason, including but not limited to a breach of these Terms.

5. Use of the Service

• Permitted Use: You agree to use the Service only for lawful purposes and in accordance with these Terms. You are granted a non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms.
• Prohibited Conduct: You agree not to use the Service:
  • In any way that violates any applicable national or international law or regulation.
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way.
  • To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
  • To impersonate or attempt to impersonate stargazer.earth, a stargazer.earth employee, another user, or any other person or entity.
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm stargazer.earth or users of the Service or expose them to liability.
  • To reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service without our express written permission.
  • To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
  • To introduce any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

6. Intellectual Property Rights

• Our Intellectual Property: The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Łukasz Pożarlik and its licensors. The Service is protected by copyright, trademark, and other laws of both Poland and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.
• User Content: If you post, upload, input, provide or submit your personal data or any other content to the Service ("User Content"), you retain ownership of any intellectual property rights that you hold in that User Content. You grant us a non-exclusive, worldwide, royalty-free, irrevocable, sublicensable, perpetual license to use, display, edit, modify, reproduce, distribute, store, and prepare derivative works of your User Content to provide the Service and to promote stargazer.earth or the Service in general, in any formats and through any channels.
• Feedback: If you provide us with any suggestions, comments or other feedback relating to the Service ("Feedback"), such Feedback is non-confidential and will become our sole property. We will be able to use, disclose, reproduce, license, and otherwise distribute and exploit the Feedback as we see fit, entirely without obligation or restriction to you.

Our Service may contain links to third-party web sites or services that are not owned or controlled by stargazer.earth.

Stargazer.earth has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services. You further acknowledge and agree that stargazer.earth shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods or services available on or through any such web sites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

8. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

While we cannot guarantee absolute security, we undertake reasonable efforts regarding security maintenance for the Service.

WE MAKE NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; OR THAT THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SERVICE WILL MEET YOUR EXPECTATIONS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Łukasz Pożarlik, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF, OR ANY INABILITY TO USE ANY PORTION OF THE SERVICE OR OTHERWISE ARISING OUT OF OR RELATING TO THE TERMS IS LIMITED TO THE GREATER OF: (A) THE AMOUNT, IF ANY, PAID BY YOU TO US FOR THE SERVICE IN THE 12 MONTHS PRIOR TO THE EVENTS GIVING RISE TO THE CLAIM; OR (B) $100.

10. Indemnification

You agree to defend, indemnify, and hold harmless Łukasz Pożarlik and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, by you or any person using your account and password; b) a breach of these Terms, or c) Content posted on the Service.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of Poland, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.

12. Dispute Resolution

• Negotiation: In the event of any dispute, claim, question, or disagreement arising from or relating to these Terms or the breach thereof, the parties hereto shall use their best efforts to settle the dispute, claim, question, or disagreement. To this effect, they shall consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties. If they do not reach such a solution within a period of 60 days, then, upon notice by either party to the other, all disputes, claims, questions, or differences shall be finally settled by binding arbitration administered by Court of Arbitration at the Polish Chamber of Commerce in accordance with the provisions of its [Commercial Arbitration Rules or other specific rules]. The arbitration will take place in Krakow, Poland. The language of the arbitration shall be Polish.
• Exceptions: Notwithstanding the foregoing, you agree that we may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

13. Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect.

14. Entire Agreement

These Terms, along with our Privacy Policy (which you should also review and can be found at https://stargazer.earth/privacy-policy), constitute the entire agreement between you and stargazer.earth regarding your use of the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.

15. No Waiver

No waiver by Łukasz Pożarlik of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Łukasz Pożarlik to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
